The only investors in New Zealand who are permitted to subscribe for Shares under the offer are existing shareholders in DGC who are “supplying shareholders” (as defined in section 34 of the Co-operative Companies Act 1996) who have supplied milksolids to DGC during the period from 1 June 2018 to 31 May 2019 in excess of their “Share Entitlement Milk”. A shareholder’s “Share Entitlement Milk” is a quantity of milksolids that is equal to 1 kilogram of milksolids for each Share held by that shareholder.
