The offer made consists of a Rights Issue to existing shareholders of The New Zealand Merino Company Limited with registered addresses in New Zealand at 5pm on 25 September 2020, together with a Shortfall Offer and Strategic Investor Offer of unsold rights under the Rights Issue. The Shortfall Offer is only open to Growers (as defined in the PDS) and their affiliates at the Board’s discretion, directors and employees each of whom are not shareholders (and in the case of Growers and their affiliates are not controlled by shareholders), and are resident in New Zealand. To the extent that there are still unsold rights after the Shortfall Offer, the Board has discretion to offer them to new investors who are not existing shareholders on the record date or otherwise eligible to participate in the offer, and whom it considers are institutional or professional investors under applicable law and able to assist in the execution of NZM’s growth strategy.

As ordinary shares, they give all shareholders the right to an equal share in dividends and the surplus assets of the company, as well as the voting rights afforded under the Companies Act 1993, except with respect to the nomination and appointment of the company’s 7 directors. Under the constitution all shareholders may nominate and vote on the appointment and removal of 3 Independent Directors (as defined in the constitution). However, Growers (as defined in the constitution) may nominate and vote on the appointment of a further 3 directors, although such directors are subject to removal by ordinary resolution of all shareholders. Provided these roles are filled, shareholders may nominate and vote on the appointment and removal of an additional director.
