• any Shares held by the Producer on the Calculation Date or, if different, on the Settlement Date; less
• any number of Shares which, when allocated to a KPIN, are more than the KPIN Cap and, for the Producer, in excess of their Share Cap, as at the Calculation Date or, if different, on the Settlement Date.

Convertible ordinary shares. Zespri Group Limited’s convertible ordinary shares have significant restrictions on who may own them, how many of them may be owned, mandatory sale requirements, the calculation of voting rights and the eligibility for dividends, related to a shareholder’s kiwifruit production and relationship to the orchard producing the kiwifruit. Ordinary shares may convert into Class B Shares of Zespri Group Limited, which do not have any rights to a dividend, but otherwise have the same rights as ordinary shares. These matters are explained in Section 6 of the PDS relating to this offer and you are encouraged to read it in full.
