The Offeror relies on clauses 18 to 20 of the Financial Markets Conduct (Forestry Schemes) Exemption Notice which specify that as the GP has been incorporated solely for being the general partner of LP, and Investors will beneficially own the GP shares, with decision making rights, there are no disclosure and reporting requirements in the FMC Act relating to the GP shares.
